Abstract

This law school text predominantly consists of an extensive series of hypothetical problems, which require students to analyze closely and carefully the provisions of Article 9 of the Uniform Commercial Code, rather than judicial interpretations of the statute in court opinions. The text places students in the role of Sidney Carlson, a junior in-house counsel recently hired by Megabank, Inc., a fictitious bank holding company. Throughout the book, Sidney is asked to give legal advice on the problems confronted by Megabank’s various lending subsidiaries, most frequently in transactional settings and nonlitigation scenarios. The tone is light, with recurring characters and business entities. Extensive footnotes refer to the Article 9 provisions (as well as related state and federal law) necessary to answer the problems. The footnotes also refer to relevant cases and secondary sources that can be used as supplemental material. A comprehensive Teacher’s Manual—longer than the book itself—is available online, along with a set of PowerPoint slides for in-class use. This book is intended for instructors who seek to provide an in-depth treatment of Article 9, aspire for their students to embrace the statute’s intricacies and intellectual challenges, and have a sense of humor.
