Abstract
This dissertation addresses the following central question: after the recent strengthening of China’s private fund regulatory framework, what investor-protection functions are currently performed by administrative regulations, organizational laws across different forms of funds, and private ordering across different private equity fund forms, and why do partnership-structured funds continue to present the most significant residual gaps?
